A property advertised with a tenant brings more than a quoted monthly rent. Before buying in Punta Cana, establish who occupies it, under what arrangement, what payments have actually been received and what you are expected to take over. If you want to move in, a promise of vacant delivery also needs legal and practical verification. Use this checklist to organize the evidence for your independent Dominican lawyer before signing or paying.

## Clarify continuing tenancy or promised vacant delivery
Start with your intended use: keep the existing residential tenancy, use the property yourself after lawful vacant delivery, or consider a different rental model later. Ask the seller to identify every occupant and the basis of occupation, including any renewal, permitted subletting or informal arrangement. A viewing, an empty room or a listing marked ‘available’ does not settle those questions. Residential leases, short tourist bookings and other occupancy arrangements require separate assessment.
Do not assume that a sale ends a residential tenancy. Article 23 of Dominican Law 85-25 addresses a change of owner during a tenancy and requires the new owner to respect the contractual relationship on the agreed terms within that law’s scope. Ask independent counsel to determine the applicable rules, exceptions, contract terms and any relevant proceedings for this exact property. If your purchase depends on vacant delivery, have counsel assess how that condition and its verification should be addressed before you commit.

## Collect the lease, amendments and occupancy evidence
Request the complete signed lease, amendments, renewals, relevant notices, any agreement allowing another occupant and records of disputes or pending proceedings. Check that the property, parties, term, rent, payment currency, included services and furnished inventory are identifiable and consistent. Ask who manages the tenancy and who is authorized to speak for the seller. Record missing documents and conflicting statements as open questions rather than filling the gaps with assumptions.
Have counsel assess the lease’s legal effect and relevant registration evidence alongside the ownership and title review. Municipal lease registration and entries affecting the property in the Title Registry are distinct checks; a title search alone should not be treated as proof that no tenancy exists. Obtain only evidence you are authorized to receive, protect occupants’ personal information and use an appropriately secure channel for sensitive records.

## Reconcile received rent, arrears, advance rent and deposits
Compare the lease’s rent schedule with a dated payment ledger and supporting receipts or appropriately redacted payment records. Identify the period each payment covers, the currency, unpaid amounts, concessions and any utilities or management charges bundled into the rent. Asking rent and rent due are not the same as money collected. Nor does past collection establish future payment, net income or an achievable return for a different rental strategy.
List advance rent and the security deposit separately. Establish the recorded amount, who holds it, supporting evidence, any claimed deductions and the obligations that may continue after closing. A refundable deposit is not rental income. Ask counsel to assess how amounts and responsibilities should be reconciled and documented between the relevant parties; do not assume the seller can simply keep the deposit or that handing over cash completes the legal transfer. Use the worksheet to track unresolved evidence, not as a substitute for a transaction-specific settlement.
| Issue or sales statement | Document or confirmation | Open question | Responsible person / agreed next step |
| --- | --- | --- | --- |
| ‘The tenant pays every month’ | Lease, payment ledger and permitted payment evidence | Which periods are actually paid, overdue or disputed? | Seller or manager supplies records; buyer reconciles with advisers |
| ‘Rent is paid ahead’ | Receipt, amount, currency and covered dates | Who must account for periods after closing? | Counsel assesses the proposed allocation and documentation |
| ‘The deposit comes with the property’ | Deposit receipt, custody evidence and claimed deductions | Who holds it and which obligations remain? | Counsel confirms the required arrangement with relevant parties |
| ‘You can move in after closing’ | Occupancy documents and proposed delivery condition | How will lawful vacant delivery be established? | Counsel reviews the condition; authorized parties verify delivery |

## Agree closing responsibilities and required communications
Before signing, ask your lawyer to set out who is responsible for rent relating to each period, outstanding charges, prepaid amounts, deposit obligations and any existing management arrangement. Identify the proposed handoff date and the records to be delivered. A seller’s property-management contract is a separate document: do not assume it transfers, ends automatically or binds the buyer on the same commercial terms.
Ask counsel which notifications, acknowledgements or other steps are required for the particular tenancy and ownership change, including how the occupant will receive verified payment instructions and an appropriate contact. Record the responsible person and evidence of completion. If a material issue remains unresolved, seek advice about the proposed purchase agreement, applicable law and your next step; this checklist does not establish a unilateral right to withhold payment, cancel or recover a deposit.

## Verify lawful delivery separately from title and inspection
Keep three workstreams separate: ownership and legal rights, the property’s physical condition, and actual delivery under the agreed occupancy arrangement. A technical inspection can identify defects without deciding anyone’s right to remain. Registered ownership and receiving keys do not by themselves prove lawful vacant possession. If a tenancy continues, verify the agreed records and operational handoff rather than describing the property as vacant.
Where vacant delivery is part of the proposed purchase, ask counsel what evidence and lawful steps are needed and arrange an authorized check of actual occupancy at the relevant time. Record keys, access devices, meters, inventory and condition in the handover file, while keeping the legal possession question distinct. Do not infer from the sale that locks may be changed, services cut off or occupants removed. A promise of future vacancy should not be presented as completed delivery.

## Keep a decision file before committing
Keep a dated file with your intended use, occupancy status, document versions, payment reconciliation, unresolved questions and the person responsible for each next step. Distinguish seller statements from supporting evidence and your advisers’ conclusions. Compare candidates using the tenancy and possession position actually established for each property; neither a neighborhood name nor an attractive quoted rent proves suitability for your plans.

Your independent Dominican lawyer should assess the tenancy documents, occupancy rights and purchase obligations. Do not put tenant identity documents, private bank records or other sensitive evidence into the public inquiry form; agree an appropriate way to share any necessary records with the relevant adviser.

## FAQ

### Does selling the property automatically end the tenancy?
Answer: Do not assume so. Law 85-25 addresses changes of owner during a tenancy within its scope. Have independent Dominican counsel assess the actual occupancy arrangement, applicable law, contract and any relevant proceedings before relying on vacant delivery or a planned change of use.

### Does the seller’s quoted rent prove collected rental income?
Answer: No. Reconcile the lease and payment ledger with permitted supporting evidence. Rent due, rent received, arrears, advance rent and refundable deposits are different items. Collection history also does not guarantee future payments or net returns.

### Does receiving the keys prove vacant possession?
Answer: No. Keys show access, not necessarily the absence of occupants or occupancy rights. Verify actual delivery and have counsel assess lawful possession separately from title registration, inspection and the physical handover.
